Terms of Service

1. Agreement to terms

By accessing or using PrismaQR (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, please do not use PrismaQR.

2. What PrismaQR provides

PrismaQR is a cloud-based platform that lets you create dynamic QR codes, track scan analytics, customize QR code designs, shorten links, and manage QR campaigns across teams. We offer free and paid subscription tiers, each with different feature limits described on our pricing page.

3. Account registration

To use most features, you must create an account with a valid email address and a secure password, or sign in via Google. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Acceptable use

You agree to use PrismaQR lawfully and responsibly. Specifically, you must not:

• Create QR codes that link to malware, phishing sites, or any content designed to deceive or harm others.
• Use the Service to distribute illegal, defamatory, obscene, or otherwise objectionable content.
• Attempt to reverse-engineer, scrape, or interfere with the platform’s infrastructure, APIs, or security mechanisms.
• Resell, sublicense, or redistribute access to PrismaQR unless you hold a Business plan with an explicit reseller agreement.
• Generate an unreasonable volume of QR codes or scans intended to overload or degrade the Service for other users.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice, depending on severity.

5. Your content

You retain full ownership of the content you upload to PrismaQR—logos, images, destination URLs, and QR code configurations. By uploading content, you grant us a limited, non-exclusive license to host, process, and display that content solely to operate the Service on your behalf. We will never use your content for advertising or sell it to third parties.

6. Subscriptions and billing

6.1 Free plan

The Free plan allows you to create up to 5 QR codes with basic analytics and standard designs. No credit card is required.

6.2 Paid plans

Pro and Business plans are billed monthly. Your subscription renews automatically at the end of each billing cycle unless you cancel beforehand. Prices are listed on our pricing page and may change with 30 days’ written notice.

6.3 Refunds

If you are unsatisfied with a paid plan, contact us within 7 days of your initial purchase for a full refund. After that window, we do not offer partial refunds for unused time, but you may cancel at any time to prevent future charges.

7. QR code availability and redirects

We strive for high uptime, but we do not guarantee 100% availability. QR code redirects depend on our infrastructure and third-party services. We are not liable for scan failures caused by network outages, device incompatibilities, or issues with your destination URLs. If you deactivate or delete a QR code, scans of that code will no longer redirect.

8. Intellectual property

The PrismaQR name, logo, website design, and underlying software are our intellectual property (or that of our licensors) and are protected by applicable copyright, trademark, and other laws. These Terms do not grant you any right to use our branding except as needed to identify the source of your QR codes when using the free plan’s default branding.

9. Limitation of liability

To the maximum extent permitted by law, PrismaQR and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of (or inability to use) the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Indemnification

You agree to indemnify and hold harmless PrismaQR, its founders, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms or engage in conduct that we reasonably believe harms other users or the integrity of the Service. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (liability, indemnification, intellectual property) will remain in effect.

13. Changes to these terms

We may revise these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the platform at least 15 days before the changes take effect. Continued use of PrismaQR after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PrismaQR operates, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration in accordance with applicable arbitration rules.
